Outcome of Board Meeting

The Board of Directors of the Company at its meeting held today has interalia approved the following matters subject to approvals by Shareholders:
1. Sale of 100% stake of Zicom SaaS Private Limited being a material subsidiary of the Company.
2. Transfer by way of assignment agreement of the Trademark being Zicom and Domain Name being www.zicom.com.
3. Sale of immovable properties of the Company.
4. Sale of shares held by the Company in Unisafe Fire Protection Specialists LLC Dubai a step down subsidiary of the Company.
5. Sale of shares held by the Company in Phoenix International WLL Qatar a step down subsidiary of the Company.
6. Re-appointment of Mr. Anil Khanna as an Independent Director for a second term.
The Board has approved conduct of Postal Ballot and appointed Scrutinizer for the same. The Board has also approved the Notice of Postal Ballot.
